Scope of User Terms

These User Terms of Service govern the conduct of each authorized user of the NextBrain platform. They apply in addition to any master services agreement, subscription agreement, order form or commercial terms entered into between NextBrain AI and the applicable customer organization.

If there is any conflict between these User Terms and the agreement signed with the customer organization, the signed customer agreement will prevail to the extent of that conflict.

Eligibility and Authority

You may access the platform only if you are an employee, contractor, consultant or other representative of a customer that has authorized your use of the service.

You must comply with your organization’s internal policies, approval processes and security requirements when using the platform.

Accounts and Access Credentials

Access credentials are personal and may not be shared. You are responsible for all actions taken through your account and for maintaining the confidentiality of authentication details, including passwords, single sign-on credentials and access tokens where applicable.

You must promptly notify your organization and NextBrain AI if you become aware of unauthorized use of your account, suspected credential compromise or security weaknesses affecting your access.

Permitted Use

You may use the platform only for legitimate internal business purposes authorized by your organization and only within the limits of the subscription, environment and workflow permissions granted to you.

• building and running approved workflows;
• reviewing outputs, data flows and configuration results;
• collaborating with your team inside the platform as permitted by role-based access controls;
• using platform features in accordance with applicable documentation and organizational approval.

Restrictions and Prohibited Conduct

You must not:

• use the service in violation of applicable law, regulation or third-party rights;
• upload unlawful, infringing, malicious or deceptive content;
• attempt to bypass role permissions, security controls or usage limits;
• reverse engineer, copy, benchmark or exploit the service beyond authorized use;
• introduce malware, automated abuse, credential attacks or other harmful activity;
• use outputs without appropriate business, legal or operational review where such review is required.

User Content and Responsibility

You are responsible for the content, prompts, documents, records, datasets, instructions and other material that you submit, upload or configure through the platform.

You must ensure that your use of data within the platform is lawful, properly authorized and consistent with contractual, privacy, confidentiality and compliance obligations applicable to your organization.

Outputs and Review Obligations

Platform outputs, recommendations, generated text, extracted fields, workflow decisions and related AI-assisted results may require review before operational use. You remain responsible for checking whether results are appropriate for the intended use case.

You must not treat AI-generated output as legal, financial, medical or regulatory advice unless independently validated by qualified personnel and approved under your organization’s controls.

Confidentiality and Security

You must protect confidential information accessed through the platform and use commercially reasonable care to prevent unauthorized disclosure, misuse or insecure sharing of data, outputs or credentials.

You must follow all security guidance provided by your organization or by NextBrain AI, including access reviews, device controls, acceptable storage practices and incident reporting procedures.

Intellectual Property

The platform, including its software, interface, workflows, models, documentation, branding and underlying technology, remains the property of NextBrain AI or its licensors.

These User Terms grant no ownership rights. Authorized users receive only a limited right to access and use the platform as permitted under the applicable customer subscription.

Suspension and Removal of Access

NextBrain AI or the customer organization may suspend, limit or revoke your access if your use violates these User Terms, creates security or compliance risk, or exceeds your authorized scope of use.

Access may also end automatically when your employment, contractor status, assignment or organizational authorization ends.

Disclaimer

The platform is provided on an “as is” and “as available” basis, subject to the warranties, limitations and service commitments set out in the customer agreement where applicable. User-level access does not create any separate warranty in favor of individual users.

Limitation of Liability

To the fullest extent permitted by applicable law, NextBrain AI shall not be liable to any individual user for indirect, incidental, consequential, special or punitive damages arising out of or related to that user’s access to or use of the platform.

Any liability relating to the service is governed by the applicable agreement between NextBrain AI and the customer organization.
