Acceptance of Terms

Acceptable Use

You agree not to use the services:

• in violation of any applicable law, regulation or third-party right;
• to upload, store or process unlawful, harmful, defamatory or infringing content;
• to interfere with, disrupt or compromise the integrity, security or availability of the platform;
• to reverse engineer, copy, resell or exploit the service except as expressly permitted by us in writing;
• to attempt unauthorized access to accounts, systems, infrastructure or data.

We may suspend or restrict access if we reasonably believe your use creates security, legal or operational risk.

Intellectual Property

All intellectual property rights in and to the services, including software, models, workflows, designs, branding, documentation, text, graphics and other platform materials, are owned by or licensed to NextBrain AI.

These Terms do not transfer any ownership rights to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the services for your internal business purposes.

Payment Terms

Paid plans, subscriptions, implementation services or other commercial arrangements are subject to the pricing, billing cycle and payment conditions agreed at the time of purchase or in a separate order form.

Unless otherwise stated, fees are non-refundable. Failure to pay applicable fees when due may result in suspension or termination of access to paid features.

Privacy and Data Security

Our handling of personal data is governed by our Privacy Policy. By using the services, you acknowledge that we may process data in accordance with that policy and with applicable data protection laws.

We do not warrant that the service will be error-free, secure at all times, or suitable for every specific workflow, business process or regulatory requirement without additional configuration or review.

Limitation of Liability

To the fullest extent permitted by applicable law, NextBrain AI and its directors, officers, employees, affiliates, contractors and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings arising out of or related to the use of, or inability to use, the services.

Our aggregate liability for any claim arising out of or relating to the services shall not exceed the amount paid by you to NextBrain AI for the services during the twelve months preceding the event giving rise to the claim.

Termination

We may suspend or terminate your access to the services immediately if you breach these Terms, if your use creates risk for other users, or if required by law.

You may stop using the services at any time. Upon termination, rights granted to you under these Terms will cease and provisions that by their nature should survive termination will remain in effect.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter or their formation shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the services.

Changes to Terms

We may revise these Terms from time to time. Updated versions will be posted on this page and will become effective on the date indicated at the top of the document unless otherwise stated.

Your continued use of the services after updated Terms become effective constitutes acceptance of those revised Terms.
